1. Overview
By registering for a WinWayShop account or using WinWayShop Services, you agree to be bound by these Terms of Service ("Terms"). WinWayShop provides SaaS products and services to help you create online stores ("Online Services") and sell products or services to your customers. Any new features, tools, or updates are also subject to these Terms.
2. Account Terms
Provide accurate information (legal name, address, phone, valid email)
You must be at least 18 years old (or age of majority)
Use WinWayShop for commercial—not personal—purposes
Your account email is the primary channel for communications
You are responsible for safeguarding your password
3. Account Activation
Store Owner
The registrant is the Store Owner responsible for this Agreement. If you register on behalf of an employer, the employer is the Store Owner and you warrant that you are authorized to bind the employer.
Staff Accounts
Depending on your plan, you may create staff accounts with controlled permissions. The Store Owner is liable for all activities of staff accounts.
4. Contracting Party
United States, Canada, EU: WinWayShop; disputes subject to the exclusive jurisdiction of Ontario courts
Asia-Pacific, Middle East & Africa, Latin America & other regions: GOODNET TECHNOLOGY CO., LIMITED; disputes subject to the exclusive jurisdiction of Hong Kong courts.
5. General Terms
Technical support is provided to WinWayShop users
These Terms are governed by the laws of Hong Kong SAR
Use of WinWayShop API is subject to the API Terms
Do not resell or exploit the Services without written consent
6. WinWayShop Rights
We may modify or terminate Services at any time. We may refuse service to anyone. We may remove materials or suspend accounts that violate our policies. Abuse or threats toward staff or users leads to immediate termination.
7. Confidentiality
Each party agrees to use the other's Confidential Information only as necessary to fulfill obligations under these Terms, to protect it with reasonable care, and to disclose it only as required by law.
8. Fees & Payments
Maintain a valid payment method. Fees are billed in USD unless stated otherwise and may be charged automatically. Unpaid balances may result in suspension or termination. WinWayShop does not provide refunds.
9. Cancellation & Termination
You may cancel at any time; outstanding fees remain payable. WinWayShop may suspend or terminate accounts for violations or suspected fraud. Upon termination, services cease, your store goes offline, and data may beremoved.
10. Third-Party Services
WinWayShop may recommend or integrate third-party apps or services. Your use is at your own risk and governed by those providers' terms and privacy policies. Integration may require data sharing. WinWayShop is not liable for third-party services.
11. Limitation of Liability
The Services are provided "as is" and "as available." WinWayShop does not guarantee uninterrupted or error-free service or the accuracy of results. To the maximum extent permitted by law, WinWayShop is not liable for indirect, incidental, special, consequential or punitive damages.
12. Intellectual Property & Content
You retain ownership of content you upload. By uploading, you grant WinWayShop the right to host, display, and use your content to provide the Services. WinWayShop may use your store name, trademarks, and logos for marketing the Services.
13. Privacy & Data Protection
Personal Information is processed under WinWayShop's Privacy Policy. For EEA matters, processing complies with GDPR via our Data Processing Appendix.
14. Miscellaneous
Beta Services may be offered for testing and are provided "as is."
Feedback may be used by WinWayShop without compensation.
If any provision is invalid, the remainder remains enforceable.
In the event of conflict, the latest English version prevails.
